These Terms of Use (the “Terms”) set forth the terms and conditions for using Tamareel (the “Service”). Customers who use the Service (“Users”) must use the Service only after agreeing to these Terms.
Article 1 (Description of the Service)
- The Service is a cloud-based service that enables Users to upload, store, convert, and view videos for which they hold the rights or have obtained the permissions necessary for storage and viewing, in a private library solely for that User.
- The Service is not a public video distribution service, video sales service, video sharing service, marketplace, creator-support service, tipping service, or service for transfers to third parties.
- Videos stored through the Service may be viewed only from the account of the User who uploaded them. We do not provide features that enable sharing with other Users, issuing public links, or searching for or viewing videos by third parties.
- We may modify, add to, or discontinue the features, specifications, terms of provision, or regions in which the Service is available.
Article 2 (Accounts)
- Users shall register an account using accurate and current information and shall manage their accounts and authentication credentials at their own responsibility.
- Users must not permit a third party to use, lend, transfer, sell, or share their accounts.
- If a User becomes aware of unauthorized use of an account, leakage of authentication credentials, or a risk thereof, the User shall contact us immediately.
- Unless attributable to us, actions taken using a User’s account are deemed to have been taken by that User.
Article 3 (User Content and Rights)
- Users represent and warrant that they hold all necessary copyrights, neighboring rights, portrait rights, publicity rights, trademark rights, and other rights or permissions for videos, images, subtitles, audio, descriptions, and other content uploaded to the Service (“User Content”).
- Rights in User Content remain with the User or the rightful owner. These Terms do not transfer any rights in User Content to us.
- Users grant us a non-exclusive, royalty-free right to store, reproduce, convert, deliver, and delete User Content to the extent necessary to provide, operate, maintain, troubleshoot, secure, and comply with laws applicable to the Service.
- We do not ordinarily view or review User Content and do not provide features or operations for constantly or periodically monitoring its contents. We have no obligation to monitor, screen, or review User Content.
- Notwithstanding the preceding paragraph, where there is a legal request, a security need, reliable information indicating a possible violation of these Terms or our policies, or another reasonable reason, we may review User Content to the extent necessary and take measures including restricting access, deleting content, or suspending use of the Service.
Article 4 (Prohibited Conduct)
Users must not engage in any of the following when using the Service:
- Uploading, storing, distributing, or using films, television programs, music, animation, sports footage, software, or other copyrighted works without the permission of the rights holder;
- Infringing the privacy, portrait rights, reputation, credit, or other rights or interests of another person;
- Uploading or using content that violates laws or public order and morals;
- Handling content involving sexual exploitation, child sexual exploitation or abuse, illegal drugs, violence, terrorism, self-harm, or promotion of discrimination;
- Using the Service to make videos or files public, share, sell, resell, redistribute, or make them available for transmission to third parties;
- Using the Service as a file-sharing service, cyberlocker, hosting service for third parties, storage-resale service, or video distribution platform;
- Unauthorized access to the Service or related systems, causing excessive load, vulnerability scanning, reverse engineering, or interference;
- Unauthorized use of payment methods, registration using false information, improper avoidance of chargebacks, or other fraudulent conduct;
- Criminal conduct or preparation for criminal conduct using the Service; or
- Any other conduct that we reasonably determine to be inappropriate.
Article 5 (Response to Rights Infringement)
- Users shall confirm, at their own responsibility, that User Content does not infringe the rights of third parties.
- If we receive a request required by law, a request from a court or other public authority, or reliable information indicating that User Content infringes rights, we may take measures to the extent necessary, including restricting access to or deleting User Content, suspending an account, or taking other action.
- Where necessary for the response set forth in the preceding paragraph, we may contact the User and request an explanation or supporting materials.
Article 6 (Fees and Payment)
- When using a paid plan of the Service, Users shall pay the fees in accordance with the price, payment timing, and payment method separately displayed by us.
- Unless otherwise displayed, paid plans automatically renew for each billing period selected at the time of application.
- Users may cancel through the billing settings page in the Service by the day before the next renewal date. After cancellation, Users may continue to use the Service until the end of the paid subscription period.
- Details of fees, additional charges, refunds, cancellation, and the timing of service provision are governed by the Commercial Disclosure under the Specified Commercial Transactions Act and the information displayed at the time of application.
- Payment processing is performed through payment service providers designated by us. We do not directly store Users’ credit card numbers or other payment information.
Article 7 (Usage Limits and Deletion of Data)
- We may impose limits for each plan, including storage capacity, data transfer volume, permitted upload file formats, and usage periods.
- If a User exceeds an available storage capacity or data transfer limit, we may restrict uploads, video conversion, or viewing.
- If a User cancels or otherwise loses eligibility to use the Service, we may delete User Content and other data after the separately specified data-retention period has elapsed.
- Before cancellation or suspension, Users shall obtain or back up any necessary User Content at their own responsibility.
Article 8 (Interruption or Suspension of the Service)
We may interrupt or suspend all or part of the Service without prior notice to Users when reasonably necessary, including for maintenance, inspection, updates, or incident response; outages in external services; force majeure; or urgent security or operational measures.
Article 9 (Suspension and Termination)
We may suspend a User’s account or use of the Service, or terminate the service agreement without prior notice, if the User violates these Terms, fails to pay fees, infringes third-party rights, or is likely to interfere with the safe operation of the Service.
Article 10 (Disclaimers and Limitation of Liability)
- We do not guarantee that the Service will meet a User’s particular purpose or that it will be complete, accurate, continuous, available, or secure.
- We do not guarantee the integrity or continued storage of User Content, that it will not be lost or damaged, or that unauthorized access by third parties will not occur.
- If we cause damage to a User in connection with the Service and are liable for damages, except in cases of our intentional misconduct or gross negligence, our liability is limited to the total fees paid by the User to us during the 12 months preceding the time the damage occurred.
- The preceding two paragraphs do not apply to the extent that they are restricted or invalid under the Consumer Contract Act or other applicable laws.
Article 11 (Personal Information)
Our handling of Users’ personal information is governed by a separately established Privacy Policy.
Article 12 (Amendments to these Terms)
- We may amend these Terms where reasonably necessary, including due to changes in law or changes to the Service.
- When amending these Terms, we will provide notice of the amendment and its effective date by posting it in the Service or by another appropriate method.
- If a User uses the Service after the effective date, the User is deemed to have agreed to the amended Terms.
Article 13 (Governing Law, Jurisdiction, and Language)
- These Terms are governed by and construed in accordance with the laws of Japan.
- Any dispute between a User and us concerning the Service or these Terms shall be subject to the exclusive jurisdiction of the district court having jurisdiction over our registered address as the court of first instance.
- The Japanese version of these Terms is the authoritative version, and this English version is provided for reference only. In the event of any conflict or inconsistency between the Japanese and English versions, the Japanese version prevails.
